These Terms of Use (“Terms”) govern your access to and use of any internet, TV, VoIP, wireless, or related services (“Services”) provided by Bcomms Technologies Inc DBA ClickTel Inc. (“Bcomms,” “ClickTel,” “we,” “our,” or “us”). By activating, accessing, or using our Services, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must discontinue use of the Services immediately.


1. DEFINITIONS

  • Account Holder – the individual or business entity responsible for all charges and actions under the account.
  • Equipment – any modem, router, access point, ONT, set-top box, SIM card, or device provided by ClickTel.
  • Service Area – geographic regions where ClickTel provides connectivity.
  • Network – ClickTel-owned or partner infrastructure used to deliver Services.

2. ELIGIBILITY & AUTHORIZATION

You must be at least 18 years old and legally authorized to enter into contracts to purchase or use the Services.

If you subscribe on behalf of a business, you confirm you have authority to bind the company to these Terms.


3. SERVICE AVAILABILITY & PERFORMANCE

3.1 No Guaranteed Speed or Uninterrupted Service
Actual speeds, latency, and uptime may vary due to:

  • network congestion, maintenance, upgrades,
  • signal interference, weather conditions (for wireless links),
  • customer equipment limitations,
  • third-party routing or backbone issues.

ClickTel does not guarantee any specific upload/download rate unless an SLA is explicitly provided in writing.

3.2 Temporary Service Interruptions
Scheduled and emergency maintenance may occur. Reasonable efforts will be made to notify customers in advance but notice is not guaranteed.

3.3 Network Management Practices
We may use reasonable network management tools to:

  • prevent spam or fraud,
  • manage congestion,
  • maintain network integrity and security.

4. EQUIPMENT

4.1 Ownership
Unless explicitly purchased by you, all ClickTel-provided equipment remains the sole property of ClickTel.

4.2 Return of Equipment
Upon cancellation, all ClickTel-owned equipment must be returned within 15 days. Failure to return equipment will result in replacement fees charged to your account.

4.3 Customer Equipment
ClickTel is not responsible for performance issues caused by customer-owned routers, wiring, or other devices.


5. ACCOUNT SECURITY

You are responsible for safeguarding your account credentials and all activity occurring under your account.
You agree to:

  • maintain accurate contact, billing, and service location information,
  • notify ClickTel immediately of suspected unauthorized activity.

6. BILLING & PAYMENTS

6.1 Payment Terms
All charges are due on the invoice date. Failure to pay may result in suspension or termination of Services.

6.2 Late Fees
Late payments may incur fees up to the maximum permitted by law.

6.3 Chargebacks
Credit card or bank chargebacks will be treated as unpaid balances and may result in termination.

6.4 Price Changes
ClickTel may modify pricing with 30 days’ notice.


7. ACCEPTABLE USE

You agree not to use the Services in ways that:

  • violate any law or regulation,
  • transmit harmful, fraudulent, or malicious content,
  • interfere with the ClickTel network or other customers,
  • resell or redistribute the service without written authorization,
  • circumvent bandwidth limitations or security controls.

Violation may result in immediate suspension.

A full Acceptable Use Policy (AUP) is available upon request.


8. PRIVACY

Your use of the Services is also governed by the ClickTel Privacy Policy.
ClickTel does not sell personal information. Data may be shared with service partners when necessary to deliver or support the Services.


9. INSTALLATION & ACCESS TO PREMISES

By subscribing, you grant ClickTel technicians permission to:

  • access, install, service, or remove equipment on your premises,
  • drill, mount hardware, run wiring, or perform necessary work.

You warrant that you own or have lawful authority to authorize such access.


10. EMERGENCY SERVICES (VoIP Only)

If using ClickTel VoIP services, you acknowledge:

  • 911 calling may not function during internet outages, power failures, or network disruptions.
  • You must keep your service address up to date to ensure accurate emergency routing.

ClickTel is not liable for failure of 911 calls due to conditions outside its control.


11. SUSPENSION & TERMINATION

ClickTel may suspend or terminate Services without notice if you:

  • fail to pay on time,
  • violate these Terms or applicable laws,
  • threaten network security or integrity,
  • engage in fraudulent activity.

You are responsible for all accrued charges through the termination date.


12. SOFTWARE & LICENSES

Any software provided as part of the Services is licensed to you solely for use with ClickTel Services.
Reverse engineering, resale, or modification of such software is prohibited.


13. WARRANTIES & DISCLAIMERS

The Services are provided “AS IS” and “AS AVAILABLE” without any warranties, express or implied, including:

  • merchantability,
  • fitness for a particular purpose,
  • uninterrupted or error-free operation.

To the fullest extent permitted by law, ClickTel disclaims all liability for:

  • data loss,
  • service outages,
  • hardware failures,
  • unauthorized access or security breaches beyond its reasonable control.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

ClickTel’s total liability for any claim is limited to the amount paid by the customer for the Services during the prior 30 days.

ClickTel is not liable for:

  • indirect, incidental, punitive, or consequential damages,
  • lost profits, revenue, or business opportunities,
  • service interruptions caused by third-party networks or suppliers.

15. INDEMNIFICATION

You agree to indemnify and hold harmless ClickTel from any claims arising out of:

  • misuse of the Services,
  • violation of these Terms,
  • infringement of third-party rights,
  • damage to ClickTel equipment or network caused by you.

16. CHANGES TO TERMS

ClickTel may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.


17. GOVERNING LAW

These Terms are governed by the laws of:

  • Florida, USA, for U.S. customers

Any disputes must be resolved in the courts of the applicable jurisdiction.
